This Organizer Agreement (the "Agreement") sets out the terms on which you, as an event organizer, use the AFICH platform to create, manage, and sell tickets to your events. Please read it carefully. By creating an event or otherwise using organizer features on AFICH, you agree to these terms.
What this means: These are the rules that apply when you use AFICH to run and sell tickets to your events. Using the organizer tools means you accept them.
AFICH is operated by AFICH LLC, a Delaware limited liability company (United States). AFICH is a technology and payment-facilitation platform. Payment processing, identity verification, and money movement are handled through Stripe Connect. AFICH is not a bank, money transmitter, or money-services business, and you remain the seller and merchant of record for your own events.

What this means: This is an agreement between AFICH (the platform) and you (the person or business running events on it).
AFICH provides tools and services that help you run your events, including the ability to:
AFICH provides the technology and payment facilitation. You remain responsible for the event itself and for your relationship with your attendees.
What this means: AFICH gives you the software and payment plumbing to sell tickets, let people in, get paid, and stay protected against fraud. You still run the actual event.
As the Organizer, you agree to:
What this means: Tell buyers the truth about your event, follow the rules where you operate, actually put on the event you sold, and keep buyers informed if anything changes.
4.1 Pricing and fees. You set the ticket price for each ticket type you offer. AFICH may collect service fees in accordance with the applicable platform pricing agreement. Ticket prices and any fees will be shown transparently to buyers before purchase.
What this means: You decide what your tickets cost. AFICH may add its service fees on top, and buyers see the full price and fees before they pay.
5.1 Separate charges and transfers. AFICH uses a separate charges-and-transfers model through Stripe Connect. AFICH collects payment from the buyer, deducts applicable platform fees, and transfers the net balance to you after the event. Buyer funds are held until the event occurs, and platform fees are deducted before the transfer is made.
What this means: AFICH collects the money, takes out its fees, holds the rest until your event happens, and then sends you what's left.
5.2 Payout hold window. After your event, your net balance is released to you following a tier-based hold period. Current examples of hold windows are T+7, T+3, and T+1 days after the event, and up to T+14 for accounts assessed as higher risk. AFICH may extend the hold period where reasonably needed for compliance, verification, or risk reasons, with notice to you. Your exact payout schedule is shown in your organizer payout settings and may be updated with reasonable notice.
What this means: You don't get paid the instant the event ends- there's a short waiting period (often a few days, longer for higher-risk accounts). We may extend it for compliance or risk reasons, and you'll be told. Your real schedule always lives in your payout settings.
5.3 Check-in proof. Release of funds may require a minimum level of check-in proof on the tickets you sold. This protects buyers and the platform against "ghost events" and fraud. If check-in proof is insufficient, your payout may be placed into manual review before it is released.
What this means: To confirm the event really happened, we may look at how many tickets were actually scanned at the door. Too little proof can trigger a manual review before you're paid.
5.4 Reserve. AFICH may hold a reserve- a percentage of your event revenue- for a defined period to cover potential refunds, chargebacks, and risk. The reserve percentage and release period depend on your account's trust and risk tier (for example: new, verified, trusted, or high-risk). The reserve is released after the applicable period if there is no open dispute or chargeback. Your reserve schedule is shown in your payout settings and may be updated with reasonable notice.
What this means: We may set aside part of your revenue for a while as a safety buffer against refunds and chargebacks. Better-established accounts get smaller reserves held for shorter periods. If nothing is disputed, you get the reserve back.

What this means: If a buyer wins a refund or dispute, that cost is yours- we can take it out of your balance, reserve, or future payouts- and that ticket stops working. Near a deadline, if we haven't submitted your evidence yet, you can send what you've already uploaded to the payment processor yourself- but doing so means you're vouching that it's true, complete, and yours, and the outcome and cost remain yours. If you cancel or reschedule, work with us and tell your buyers.
7.1 No tolerance for fraud. You must not tolerate or facilitate fraud, illegal ticket resale, or bulk/bot ticket purchasing on your events.
What this means: Don't allow scammers, illegal scalping, or bots to work through your events.
7.2 AFICH enforcement rights. Based on risk and compliance signals, AFICH may take proportionate measures, which may include: monitoring the account; increasing the reserve; slowing payouts; holding or manually reviewing payouts; restricting the creation or publishing of new events or new payment onboarding; and, in serious cases, restricting an account. Account restriction is only applied after manual review and administrator approval, protected by two-factor authentication and recorded in an audit trail. AFICH does not automatically block an account based on a single signal.
What this means: If something looks risky, we respond in proportion- from watching more closely, to holding payouts, to (in serious cases) limiting the account. Big actions like restricting an account require a human review and admin sign-off, and are logged. One red flag alone won't auto-ban you.
7.3 Ops-first guarantee. Risk measures never block an event that is already in progress. Attendee check-in and access continue to work. Enforcement applies only to payouts, reserves, and new actions- never to entry or access for an event that is already underway.
What this means: Our risk controls will never lock your doors mid-event. Scanning and entry keep working. Enforcement only touches money and new activity, not people getting into an event that's already happening.

What this means: If you break these rules, we can pause your account, and for serious breaches end this agreement. We can also hold on to funds in a violation situation, or as part of the normal reserve/hold rules.
9.1 Organizer indemnity. To the extent permitted by law, you will defend, indemnify, and hold harmless AFICH, its affiliates, officers, directors, employees, contractors, and service providers from claims, losses, damages, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: your events; event content, media, marks, marketing, or communications; permits, taxes, venue obligations, accessibility obligations, safety obligations, or age-restriction compliance; refunds, chargebacks, disputes, cancellations, or buyer claims tied to your events; your breach of this Agreement or AFICH policies; your violation of law; or your misuse of attendee data.
What this means: If a claim comes from your event, your content, your legal duties, your marketing, your refunds, or your misuse of data, you must protect AFICH from that claim and the related cost.
9.2 Limitation of liability. To the extent permitted by applicable law, AFICH is not liable for indirect damages or lost profits. AFICH's total liability under this Agreement is limited to the amount of fees AFICH has collected from you in the twelve (12) months before the event giving rise to the claim.
What this means: If something goes wrong, we're not on the hook for knock-on losses like lost profits, and the most we'd owe you is capped at the platform fees we collected from you during the prior 12 months.
9.3 Exceptions. Nothing in this Agreement limits liability that cannot be limited under applicable law, including liability for fraud, intentional misconduct, or rights that cannot be waived by law.
This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where applicable law requires another law to apply.
Before either party files a formal claim, the party raising the dispute must send a written notice describing the issue, the relief requested, and enough information to evaluate the claim. The parties will try in good faith to resolve the matter for at least thirty (30) days after notice is received.
If the dispute is not resolved informally, disputes between AFICH and an Organizer will be resolved by binding arbitration on an individual basis under the Commercial Arbitration Rules of the American Arbitration Association, unless the parties agree otherwise in writing or applicable law requires a different forum. The arbitration seat and venue will be Delaware, and the arbitrator may award the same individual relief a court could award, subject to this Agreement.
To the maximum extent permitted by law, the parties waive the right to a jury trial and agree that disputes will proceed only on an individual basis, not as a class, collective, consolidated, private attorney general, or representative action. Either party may bring a qualifying claim in small claims court or seek injunctive or equitable relief in court for intellectual-property misuse, security incidents, unauthorized access, fraud, or misuse of confidential information.
What this means: We try to resolve disputes first. If that fails, organizer disputes generally go to individual arbitration under Delaware law, with no class action or jury trial where the law allows. Emergency court relief remains available for security, IP, fraud, and similar urgent issues.
AFICH may update this Agreement from time to time with reasonable notice. If you continue to use the platform after an update takes effect, you accept the updated Agreement.
What this means: We can change these terms with fair notice. Keep using AFICH after a change, and you've accepted the new version.
